2. Services Description
J.M. Field provides:
- Fulfillment Services: Order processing, warehousing, shipping, and inventory management
- Printing Services: Offset printing, digital printing, large format printing, and finishing
- Marketing Services: Campaign design, production, and distribution
- Related Services: Kitting, assembly, promotional products, and graphic design
Services are provided on an as-is basis without warranties of any kind, express or implied.
3. User Obligations
You agree to:
- Provide accurate and complete information about products and services ordered
- Pay all invoices within 30 days of receipt
- Comply with all applicable laws and regulations
- Use our services only for lawful and authorized purposes
- Ensure accuracy of product specifications, shipping addresses, and deadlines
4. Payment Terms
- Payment terms are NET 30 days from invoice date
- Initial deposits may be required for new customers or large orders
- Late payments may incur interest charges at 1.5% per month
- Customer is responsible for all applicable taxes, duties, and fees
5. Intellectual Property
J.M. Field retains all intellectual property rights in our services, processes, systems, and proprietary materials. You do not acquire any intellectual property rights except for the completed work product delivered to you.
You grant us a license to use your trademarks, logos, and content solely for the purpose of providing services to you.
6. Liability Limitations
J.M. Field shall not be liable for:
- Indirect, special, incidental, or consequential damages
- Delays caused by events beyond our reasonable control
- Damages arising from errors in information provided by you
- Damages exceeding the amount paid for the specific service in question
7. Indemnification
You agree to indemnify and hold harmless J.M. Field against all claims, damages, and expenses arising from:
- Your breach of these Terms
- Your misuse of our services
- Infringement of third-party rights by your content or products
- Violations of applicable laws or regulations
8. Termination
Either party may terminate services upon 30 days' written notice. Upon termination:
- You must pay all outstanding invoices within 15 days
- We will return or dispose of your inventory per your written instructions
- All licenses and rights granted under these Terms will immediately terminate
9. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, binding arbitration in Fort Lauderdale, FL
- Arbitration conducted under American Arbitration Association rules
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services constitutes acceptance of modified Terms.
